The Company informs shareholders of the payment of a cash dividend resolved at the Shareholders’ Meeting held on October 28, 2022.
Shareholders are hereby informed that in accordance with the resolutions adopted by the Ordinary and Extraordinary General Shareholders’ Meeting held on October 28, 2022 and the Board of Directors’ meeting held on October 31, 2022, pursuant to the delegations made by the shareholders’ meeting, the shares will be made available to the shareholders as from November 8, 2022 or on such later date as may result from the application of the rules in force in the jurisdictions where the Company’s shares are listed (“the Company”), a cash dividend in the amount of Ps. 4,340,000,000,000 will be made available to the shareholders as of November 8, 2022 or on such later date as may result from the application of the rules in effect in the jurisdictions where the Company’s shares are listed (“Availability Date”), in the amount of Ps. 4,340,000,000,000.340,000,000,000.- charged to the fiscal year ended June 30, 2022, equivalent to 541.438059261% of the capital stock entitled to payment represented by a total of 801,569,067 shares. The amount per share (VN$1) will be $5.41438059261 and the amount per Global Depositary Shares (“GDS”) will be $54.1438059261, payable to all shareholders who have such status as of November 7, 2022, according to the register kept by Caja de Valores S.A.
Payment shall be made through Caja de Valores S.A., at its domicile located at 25 de Mayo 362, Ciudad Autónoma de Buenos Aires, from 10:00 am to 3:00 pm. The holders of GDS will receive the amounts corresponding to the dividend through The Bank of New York Mellon, depositary of such certificates as of the date resulting from the application of the regulations in force in the jurisdiction where the Company’s GDS are listed. It is reported that the aforementioned dividend distribution arises from results accrued in fiscal years beginning prior to January 1, 2018. Consequently, it is hereby made known that the aforementioned distribution is not subject to the 35% withholding established in Article 74 of the Income Tax Law, (T.O. Decree 824/2019 and mod.), since the dividends to be distributed do not exceed the earnings determined based on the application of the general rules of said law.
